1. Agreement to these terms
These Terms of Use (“Terms”) are a binding agreement between you and Recensa (“Recensa,” “we,” “us,” or “our”) governing your access to and use of the Recensa website, applications, and services (together, the “Service”). By creating an account, connecting a Stripe account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms, and “you” refers to that entity.
2. What Recensa does
Recensa reads data from the Stripe account you connect and presents revenue analytics — metrics, movement, churn and retention, cohort and lifetime-value analysis — along with plain-English explanations and, on eligible plans, tools that help you recover failed or expiring payments (including drafted recovery emails and periodic briefings). Recensa accesses your Stripe data on a read-only basis and does not move money, issue charges, or change your Stripe settings.
3. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us promptly at support@recensa.io if you suspect unauthorized use of your account.
4. Connecting your Stripe account
To use the core functionality, you authorize Recensa to access your Stripe account through Stripe’s authorization flow. You represent that you have the right to connect that account and to allow Recensa to process the data it contains. You may disconnect your Stripe account at any time from your Recensa settings; disconnecting stops further data access on a going-forward basis.
5. Plans, trials, and billing
Recensa offers paid subscription plans (currently Starter and Pro) billed monthly or annually. Starter may include a free trial period; Pro does not. Plan features, prices, and trial terms are described at signup and in your account settings and may change over time.
Paid subscriptions renew automatically for successive billing periods until cancelled. You authorize us and our payment processor to charge your payment method for the applicable fees. Except where required by law, fees are non-refundable and partial periods are not prorated. You can upgrade, downgrade, or cancel from your account settings; changes take effect according to the terms shown at the time of the change. Unpaid or failed charges may result in suspension or downgrade of your access.
6. Acceptable use
You agree not to:
- use the Service in violation of any law or the rights of others;
- access data you are not authorized to access, including Stripe data that is not yours;
- attempt to probe, scan, reverse-engineer, or circumvent the security or access controls of the Service;
- interfere with or disrupt the integrity or performance of the Service;
- use the Service to send unlawful, deceptive, or unsolicited messages; or
- resell, sublicense, or provide the Service to third parties except as expressly permitted.
7. Your data and content
As between you and Recensa, you retain all rights to the data from your connected accounts and the content you provide (“Your Data”). You grant Recensa a limited license to access, process, store, and display Your Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for the accuracy of Your Data and for ensuring you have the rights necessary to share it with us.
8. Recensa intellectual property
The Service, including its software, design, text, and branding, is owned by Recensa and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. No other rights are granted. You may not use our name or logo without our prior written permission.
9. Third-party services
The Service relies on third-party services, including Stripe (payments and data), our hosting and database providers, and our email provider. Your use of those services through Recensa may also be subject to their terms. We are not responsible for third-party services and do not control their availability or practices.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Recensa does not warrant that the Service will be uninterrupted, error-free, or secure, or that any metric, explanation, or recommendation it produces is accurate, complete, or suitable for your decisions. The Service is not accounting, tax, legal, or financial advice, and you are solely responsible for decisions you make using it.
11. Limitation of liability
To the fullest extent permitted by law, Recensa and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the fullest extent permitted by law, Recensa’s total liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to Recensa in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
12. Indemnification
You agree to indemnify and hold harmless Recensa and its owners, employees, and suppliers from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, Your Data, or your violation of these Terms or applicable law.
13. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required to protect the Service or other users, or if we discontinue the Service. On termination, your right to use the Service ends; provisions that by their nature should survive (including sections on data, disclaimers, liability, and governing law) will survive.
14. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Wisconsin will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue in those courts, except that either party may seek injunctive relief in any court of competent jurisdiction.
